Terms of Service

1. Use of the Platform

Eligibility. You must be at least 18 years old to use ProspectPanda. By accepting these Terms, creating an account, or using the platform, you confirm that you meet this requirement and have the legal authority to enter into this agreement on behalf of yourself or your organization.

Acceptable Use. You agree to use the platform only for lawful purposes. You may not use ProspectPanda to send unsolicited communications in violation of applicable law, store or transmit illegal content, impersonate any person or entity, interfere with the platform's operation, or attempt to gain unauthorized access to any part of the platform or its related systems.

Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@prospectpandacrm.com if you suspect unauthorized access. ProspectPanda will not be liable for any loss resulting from your failure to secure your account.

Platform Changes. We reserve the right to modify, suspend, or discontinue any feature or part of the platform at any time. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

2. Payment and Taxes

Fees and Auto-Renewal. You agree to provide accurate and complete billing information and to notify us of any changes within 10 days. Subscription fees are billed in advance on a monthly or annual basis depending on your plan and will automatically renew until cancelled. By agreeing to these Terms, you authorize ProspectPanda to charge your payment method at the then-current rates without further authorization.

Fee Changes. ProspectPanda reserves the right to change fees at any time. We will provide reasonable advance notice of any price changes. Your continued use of the platform after a fee change takes effect constitutes your acceptance of the new rates.

Non-Payment. If a payment fails or is disputed, ProspectPanda reserves the right to suspend or terminate your access to the platform until outstanding balances are resolved. Fees are non-refundable except where required by applicable law.

Taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your use of the platform. ProspectPanda will not deduct or withhold taxes on your behalf unless required by law.

3. Intellectual Property

Platform Content. The ProspectPanda platform, including all software, features, designs, and content, is the property of ProspectPanda or its licensors and is protected by applicable intellectual property laws. ProspectPanda grants you a personal, non-exclusive, non-transferable, revocable license to access and use the platform solely for the purpose for which it is provided. Any other use, including reproduction, modification, distribution, or resale of platform content without prior written permission, is strictly prohibited.

Your Content. You retain ownership of all data and content you upload or create within ProspectPanda. By submitting content, you grant ProspectPanda a non-exclusive, royalty-free license to store, process, and transmit that content solely to provide the service to you. You are responsible for ensuring your content does not violate any applicable law or third-party rights.

Feedback. If you provide ProspectPanda with suggestions, feedback, or ideas about the platform, you grant us the right to use that feedback without restriction or compensation to you.

4. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

ProspectPanda does not guarantee that the platform will be uninterrupted, error-free, or free of harmful components. ProspectPanda makes no guarantees that your business will be profitable or that you will achieve any specific result from using the platform.

Your use of the platform is at your own discretion and risk. You are solely responsible for any damage to your systems or loss of data that results from your use of the platform.

5. Limitation of Liability

Cap on Liability. Your exclusive remedy and ProspectPanda's entire liability for any claims arising from these Terms or your use of the platform is limited to the amount you paid ProspectPanda in the three (3) months before the act giving rise to the claim.

Exclusion of Damages. IN NO EVENT SHALL PROSPECTPANDA BE LIABLE FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification. You agree to defend, indemnify, and hold harmless ProspectPanda and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

6. Term and Termination

These Terms remain in effect for as long as you maintain an account with ProspectPanda. Provisions intended to survive termination, including those related to intellectual property, disclaimers, limitation of liability, and dispute resolution, will remain binding after your account is closed.

Cancellation by You. You may cancel your account at any time through your account settings or by contacting us at info@prospectpandacrm.com. Cancellation takes effect at the end of your current billing period. No refunds are issued for unused portions of a subscription term.

Termination by ProspectPanda. We reserve the right to suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent or abusive conduct, or use the platform in a way that harms other users or the integrity of the service.

Data Upon Termination. Following termination, your right to access the platform ceases immediately. You may request an export of your data within 30 days of termination. After that period, ProspectPanda may permanently delete your data.

7. Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from or relating to these Terms or your use of the platform that cannot be resolved informally will be submitted to the appropriate courts of Caloocan City, Metro Manila, Philippines.

Before initiating any formal proceeding, you agree to contact ProspectPanda at info@prospectpandacrm.com and give us 30 days to attempt to resolve the dispute informally.

Time Limit on Claims. Any claim arising from these Terms must be filed within one (1) year after the cause of action arose. Claims not filed within this period are permanently barred.

8. Changes to Terms

ProspectPanda reserves the right to update these Terms at any time. When we make material changes, we will notify you by email or by displaying a notice within the platform. The updated Terms are effective as of the date shown at the top of this page.

Your continued use of ProspectPanda after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the platform and cancel your account.
